Terms of Service

1. Eligibility

Apparition is intended for business use by users who are at least 18 years old. By creating an account, you represent that you meet this requirement and that you have the authority to bind the organization on whose behalf you are using the Service.

2. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at phasmotic@gmail.com if you suspect unauthorized access. You are responsible for ensuring that anyone you invite to your workspace complies with these Terms.

3. Acceptable use

You agree not to use Apparition to:

• Violate any applicable law, regulation, or third-party right.
• Send spam, harvest contacts, or run high-volume unsolicited outreach.
• Impersonate any person or organization, or misrepresent your affiliation with one.
• Publish content that is infringing, defamatory, harassing, deceptive, hateful, sexually explicit involving minors, or that depicts or facilitates violence.
• Reverse engineer, scrape, or attempt to circumvent the Service’s security or rate limits.
• Use the Service in a way that violates the terms of any social platform you connect, including the Meta Platform Terms, Instagram Platform Policy, and Threads platform terms.

We may suspend or terminate accounts that we reasonably believe are engaged in conduct that violates these Terms or that puts our infrastructure or other users at risk.

4. Connected social accounts

Apparition lets you connect Instagram, Facebook, Threads, and other third-party accounts. You authorize Phasmotic to act on your behalf with respect to those accounts only as needed to perform the actions you initiate through the Service. You can disconnect any account at any time from Settings, and doing so revokes our access tokens for that account.

5. Your content

You retain all ownership rights in the content you upload, generate, or schedule through Apparition (“Your Content”). You grant Phasmotic a worldwide, non-exclusive, royalty-free license to host, store, transmit, modify, and display Your Content solely as needed to operate the Service and provide it to you. This license ends when you or we delete Your Content from the Service.

You represent that you have all rights necessary to upload Your Content and to authorize the actions you instruct Apparition to perform with it (including publishing to your connected accounts).

6. AI-generated output

Apparition uses third-party AI providers to generate text, images, and video on your behalf. You are responsible for reviewing AI output before publishing, and for ensuring that anything you publish complies with applicable law and the policies of the platforms you post to. AI output may contain errors, inaccuracies, or unexpected material; we do not warrant that it is accurate, fit for any particular purpose, or free of third-party rights claims.

7. Subscriptions and billing

Apparition offers tiered subscription plans (currently free, pro, and enterprise) with different feature limits. Current limits, features, and pricing for each tier are presented in the Service at sign-up and in the billing section of your account. Subscription fees are billed in advance through Stripe and are non-refundable except where required by law. We may adjust pricing or plan limits with reasonable notice; changes take effect at the start of your next billing cycle.

8. Termination

You may stop using the Service and close your account at any time from the Settings page. We may suspend or terminate your access to the Service if you breach these Terms, if your account is inactive for an extended period, or if we are required to do so by law or by a third party platform on which you have connected accounts. Upon termination, your right to use the Service ends immediately, and we will delete your data on the schedule described in our Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. Phasmotic does not warrant that the Service will be uninterrupted, secure, or error-free, or that AI output will meet your requirements.

10. Limitation of liability

To the fullest extent permitted by law, Phasmotic and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid to Phasmotic for the Service in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

11. Indemnification

You agree to defend, indemnify, and hold harmless Phasmotic from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Your Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right (including any third-party platform’s policies for accounts you connect).

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflicts-of-law principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms at this URL and update the “Last updated” date above. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
